Governance Principles

In managing risks, MinnaPadi implements Good Corporate Governance/GCG where daily operational activities are based on written Standard Operating Procedure/SOP adjusted to prevailing rules and regulations.

The Board of Directors conduct a regular Directors Meeting to discuss Company business activities, future challenges and  to make sure that every one in the company understands and implements GCG completely. Each policy and strategic decision is consulted with the Board of Commissioners. The Company has Independent Commissioner and Independent Director as well as Audit Committee and Internal Audit experienced in each respective area.

In order to maintain and create added values to all parties involved in Company activies, Minna Padi consitently applies GCG principles.  Below are the GCG principles applied by Minna Padi:
 
Fairness Principles:

  • Minna Padi has appointed Independent Commissioner to protect Minority shareholders and stakeholders’ interests. 
  • The GCG implementation constantly emphasize on fairness and equality based on prevailing rules and regulations.


Transparency Principles:

  • Minna Padi’s Financial Statements are audited by Public Accountant registered at OJK.  The aforesaid Financial Statements are also reported periodically  to OJK, Indonesia Stock Exchange, and published at the nationwide newspaper on a regular basis;
  • Prior to every corporate action, Minna Padi always make a disclosure its plan to public, Indonesia Stock Exchange, and the OJK;
  • The Company’s Asset management and Investments are conducted in prudent and responsible manners.  
  • Spending of IPO fund is also reported regularly to the OJK.

Accountability Principles:

  • Minna Padi provides clear description on rights and obligations, authorities and responsiilities for all its Board of Commissioners and Directors.
  • Minna Padi also formed an independent audit committee headed by Independent Commissioner.


Responsibility Principles:

  • Minna Padi registered all its employees as members of  social security program in health and employment (BPJS Kesehatan & Ketenagakerjaan) as required by the Ministry of Employment in addition to company health insurance program;
  • Minna Padi consistently pays and reports its taxes on a timely basis; and
  • Minna Padi pays all its employees above Regional Minimum Wages standard
